付款 Payment
- 付款即表示客戶已閱讀、理解並無條件同意本條款及細則的所有內容,視為雙方訂立具法律約束力的合約。
Payment constitutes the client's confirmation that they have read, understood, and unconditionally agree to all terms and conditions herein, forming a legally binding contract between both parties.
- 請於發票所示到期日前繳付全數款項。
Please settle the full amount by the due date specified on the invoice.
- 如因客戶延遲付款而產生任何政府相關附加費、罰款或後果,該等費用及責任全部由客戶承擔。
Any government-related surcharges, penalties, or consequences arising from the client's delayed payment shall be fully borne by the client.
- 若客戶未能按時繳費,本公司有權終止服務並向政府部門提交辭任通知,而不作另行預告。
If the client fails to pay on time, the company reserves the right to terminate services and submit a resignation notice to the relevant government department without further notice.
- 所有付款須以港幣結算,並透過銀行轉帳、支票或指定電子支付方式進行。客戶須支付 收款銀行所收取的相關銀行費用。
All payments must be settled in Hong Kong Dollars via bank transfer, cheque, or designated electronic payment methods. The client shall bear any bank charges incurred by the receiving bank.
- 如服務費用以美元顯示,客戶須按匯率7.85(美元兌港幣)轉換為港幣支付。匯率以發票日期為準,概不接受其他匯率。
If service fees are quoted in USD, the client must convert to HKD at the exchange rate of 7.85 (USD to HKD). The rate is based on the invoice date, and no other rates will be accepted.
個人資料私隱保護 Personal Data Privacy Protection
- 客戶之個人資料及公司資料將嚴格遵守香港《個人資料(私隱)條例》(第486章)及其他相關法例保護,不會未經客戶書面同意而披露予第三方。
Client's personal and company data will be strictly protected in compliance with Hong Kong's Personal Data (Privacy) Ordinance (Cap. 486) and other relevant laws, and will not be disclosed to third parties without the client's written consent.
異議及反對權利 Rights of objection
- 客戶有權於發票日期起計24小時內,以書面形式(電郵或傳真)提出任何異議或反對。若無提出,則視為客戶完全接受發票金額及相關服務無誤。
The client has the right to raise any objections or disputes in writing (email or fax) within 24 hours from the invoice date. Failure to do so shall be deemed full acceptance of the invoice amount and related services.
秘書服務授權 Secretarial Services Authorization
- 客戶同意授權本公司作為其公司秘書,為客戶公司於稅務局及公司註冊處網站開立相關帳戶,以處理提交文件事宜。
The client authorizes the company to act as its corporate secretary, creating relevant accounts on the Inland Revenue Department and Companies Registry websites to handle document submissions.
- 以上授權為持續性有效,直至客戶書面通知終止服務為止。
This authorization is continuous until the client provides written notice to terminate services.
保密及反洗錢義務 Confidentiality and Anti-Money Laundering Obligations
- 雙方同意對彼此披露之所有資料保密,不得披露予任何第三方,除非法律要求。
Both parties agree to keep all disclosed information confidential and not disclose it to any third party unless required by law.
- 本公司須遵守香港《有組織及嚴重罪行條例》、《打擊洗錢及恐怖分子資金籌集條例》及其他反洗錢法規,客戶須配合提供所需身份證明及資金來源資料,並確保所提供的資料真確而有效。
The company must comply with Hong Kong's Organized and Serious Crimes Ordinance, Anti-Money Laundering and Counter-Terrorist Financing Ordinance, and other AML regulations. The client must cooperate by providing required identification and source of funds information, ensuring all data is accurate and valid.
知識產權及文件所有權 Intellectual Property and Document Ownership
- 本公司為客戶編製之所有文件、報表及記錄之知識產權屬本公司所有,直至全數款項清付。
Intellectual property rights in all documents, reports, and records prepared by the company for the client belong to the company until full payment is received.
- 清付後,客戶獲非獨家許可使用該等文件。
Upon full payment, the client is granted a non-exclusive license to use such documents.
爭議解決 Dispute Resolution
- 任何因本條款引致之爭議,雙方應首先嘗試友好協商。協商失敗時,提交香港國際仲裁中心按其現行規則仲裁。仲裁裁決為終局及具約束力。
Any disputes arising from these terms shall first be resolved through amicable negotiation. If unsuccessful, they shall be submitted to the Hong Kong International Arbitration Centre for arbitration under its prevailing rules. The arbitration award is final and binding.
適用法律 Governing Law
- 本條款受香港法律管轄,並以香港法院作專屬管轄權。
These terms are governed by Hong Kong law, with exclusive jurisdiction in the courts of Hong Kong.
